Release of Liability and Indemnity Agreement

CONSENT: I confirm that I consent to use electronic records and signatures. I understand and agree that Green Drop will communicate with me via email and am opting in to receive emails from Green Drop.

YOUR NAME: This Release of Liability and Indemnity Agreement (the “Agreement”) is entered into between Green Drop Company, dba Green Drop Garage (“Green Drop”) and:

In exchange for the use of a loaner vehicle (the"Vehicle") from Green Drop, I (the undersigned) agree for myself and for the members of my family, the following:

1. AGREEMENT TO FOLLOW DIRECTIONS: I agree to observe and obey all posted rules and warnings of the road and of Green Drop, and further agree to follow any oral instructions or directions given by Green Drop, or its manager, employees, owners, or agents.

2. REPRESENTATIONS: I represent and warrant to Green Drop that I hold a valid driver’s license that allows me to legally operate the Vehicle. I represent and warrant to Green Drop that I have no medical conditions that would affect my safe operation of the Vehicle. I represent and warrant to Green Drop that I have valid automobile insurance that is in compliance with the minimum requirements under applicable law. I have furnished Green Drop with evidence of the same, but acknowledge that Green Drop is relying on my representations to loan me the Vehicle. I agree that should any one of these representations be false, Green Drop may pursue against me any and all legal remedies arising from or related to such false representation(s).

3. RELEASE: ON BEHALF OF MYSELF, MY HEIRS, EXECUTORS, ADMINISTRATORS, AND ASSIGNS, IN EXCHANGE FOR GREEN DROP COMPANY PERMITTING ME TO USE THE VEHICLE FREE OF CHARGE FOR MY OWN CONVENIENCE AND BENEFIT, I HEREBY WAIVE, RELEASE, AND FOREVER DISCHARGE GREEN DROP, AND ITS OWNERS, OFFICERS, MANAGERS, EMPLOYEES, OR AGENTS, FROM ANY ALL CLAIMS, CAUSES OF ACTIONS, SUITS, DEBTS, DEMANDS, INJURIES, AND DAMAGES WHATSOEVER ARISING FROM OR RELATED TO MY USE OF THE VEHICLE, INCLUDING ANY NEGLIGENCE BY GREEN DROP, OR ITS OWNERS, OFFICERS, MANAGERS, EMPLOYEES, OR AGENTS, BUT EXCLUDING GREEN DROP’S RECKLESS OR INTENTIONAL CONDUCT.

4. DEFENSE, INDEMNITY, AND HOLD HARMLESS: I AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS GREEN DROP, AND ITS OWNERS, OFFICERS, MANAGERS, EMPLOYEES, OR AGENTS, FOR AND AGAINST ANY ALL CLAIMS, CAUSES OF ACTIONS, SUITS, DEBTS, DEMANDS, INJURIES, JUDGMENTS, COSTS, EXPENSES, ATTORNEY FEES, AND DAMAGES WHATSOEVER ARISING FROM OR RELATED TO MY USE OF THE VEHICLE OR MY PRESENCE ON GREEN DROP’S PROPERTY OR FACILITIES, INCLUDING ANY NEGLIGENCE BY GREEN DROP, OR ITS OWNERS, OFFICERS, MANAGERS, EMPLOYEES, OR AGENTS, BUT EXCLUDING GREEN DROP’S RECKLESS OR INTENTIONAL CONDUCT.

5. FEES: I agree to pay Green Drop for all damage or repairs to the Vehicle that are incurred while the Vehicle is in my possession. In the event that the Vehicle incurs damage while in my possession, I will promptly notify Green Drop, which will have an opportunity to inspect the Vehicle. Within 10 days from the inspection, Green Drop will provide me a quote for the reasonable value of the repairs. I agree to pay that reasonable value within 30 days. I understand that Green Drop does not have to rely on my insurance company to cover or pay for such damages, but after payment to Green Drop I am free to pursue any applicable claim or coverage, should it exist (which Green Drop is not representing it does) with my insurance company.

6. APPLICABLE LAW: This Agreement, and its interpretation and enforcement, shall be governed by Oregon law.

7. CONSENT TO VENUE AND JURISDICTION: In the event of a lawsuit arising out of or related to this Agreement, I agree and consent to personal jurisdiction in Oregon, and venue in Multnomah County, Oregon or United Stated District Court for the District of Oregon, Portland Division. I agree Green Drop may file suit in either of those courts, and I waive any argument or objection to jurisdiction or venue.

8. ARM'S LENGTH AGREEMENT: This Agreement and each of its terms are the product of an arm’s length negotiation between the Parties. In the event any ambiguity is found to exist in the interpretation of this Agreement, or any of its provisions, the Parties, and each of them, explicitly reject the application of any legal or equitable rule of interpretation which would lead to a construction either "for" or "against" a particular party based upon their status as the drafter of a specific term, language, or provision giving rise to such ambiguity.

9. ENFORCEABILITY: The invalidity or unenforceability of any provision of this Agreement, whether standing alone or as applied to a particular occurrence or circumstance, shall not affect the validity or enforceability of any other provision of this Agreement or of any other applications of such provision, as the case may be, and such invalid or unenforceable provision shall be deemed not to be a part of this Agreement.

10. VOLUNTARY AGREEMENT AND OTHER OPTIONS: I agree and understand that I do not have to sign this Agreement, and I am under no pressure to sign this Agreement. I have a choice as to whether to sign this Agreement, and I am choosing to sign this Agreement because I would like to have the benefit of a free loaner vehicle from Green Drop. I understand that I have several options other than to sign this Agreement, including the option to arrange for my own replacement vehicle (for example, through a rental company or a temporary-use vehicle such as “Car-to-Go” or the like) or the option of using taxi or ride-sharing services (for example, taxi companies, Uber, or Lyft). Despite these other options, I am choosing to freely enter into this Agreement and release the legal rights set forth above because I would rather obtain a free loaner vehicle from Green Drop and release those rights, rather than choose any of the other options that are available to me. Further, I agree and acknowledge that I have been given ample opportunity to review this Agreement and consider my options before signing this Agreement, and I had the opportunity to consult with my own legal counsel if I so desired.

I HAVE READ THIS AGREEMENT AND UNDERSTAND IT. I FURTHER UNDERSTAND THAT BY COMPLETING THIS RELEASE, I VOLUNTARILY SURRENDER CERTAIN LEGAL RIGHTS, AS SET FORTH ABOVE. I HAVE ATTACHED OR FURNISHED TO GREEN DROP COMPANY A COPY OF MY DRIVER’S LICENSE AND PROOF OF INSURANCE.
